1. What These Terms Cover
These Growth Marketplace Terms (the “Marketplace Terms”) govern the Growth Marketplace, an advertising section inside the SpeakUp platform where independent third-party providers (“Vendors”) buy placements to advertise their products and services, often with discounts, to SpeakUp users. They apply both to Vendors who advertise in the Marketplace and to users who browse or take up offers there. They form part of, and should be read with, our Terms of Service, Privacy Policy and Refund and Cancellation Policy. The Platform is operated by Shelp FZ-LLC (“SpeakUp”, “we”, “us”), Dubai Internet City, UAE.

2. What the Growth Marketplace Is
The Growth Marketplace is an advertising and discovery space. Vendors offer services relevant to the speaking economy, such as public relations and media, content and video production, design, event organization and marketing, venues and event rentals, speaker coaching, business and professional services, and professional tools. SpeakUp users, including speakers, experts, organizers, podcasters and media, can discover these offers and may benefit from Vendor discounts.
SpeakUp sells advertising placements, it does not sell Vendor services. We do not provide, resell, control, endorse or guarantee any Vendor product or service. Deals are made directly between the Vendor and the user, with no SpeakUp commission. We are not a party to that deal and are not responsible for it.

3. The Three Roles
It is important to keep three distinct roles separate:
- Vendors are independent businesses that buy advertising placements and sell their own products or services directly to users.
- Users are SpeakUp members who discover Vendor offers and may contract with Vendors directly, on the Vendor’s own terms.
- SpeakUp provides the advertising space and promotion tools only, and is not a party to any transaction between a Vendor and a user.

4. For Users: Using Marketplace Offers
When you respond to a Vendor advertisement or take up a discount, you deal directly with the Vendor and close any deal directly with them. You should review the Vendor’s own terms, pricing, discount conditions and privacy practices before you buy. SpeakUp does not set Vendor prices or discounts, does not handle payments between you and a Vendor, and does not guarantee that any offer, discount, product or service will be available, accurate, lawful, safe or fit for your purpose.
Any issue, complaint, refund request or dispute about a Vendor product or service is between you and the Vendor. A placement or advertisement in the Marketplace is not an endorsement, recommendation or guarantee by SpeakUp. We may, at our discretion and without obligation, help you reach a Vendor, but we are not required to mediate or resolve such matters.

5. For Vendors: Advertising in the Marketplace
If you advertise in the Marketplace, you confirm that you are a business acting in the course of your trade, that you have the right to offer your products or services, and that your advertisements, claims, prices and discounts are accurate, lawful and not misleading. You are solely responsible for your products and services, for honouring the offers and discounts you publish, for dealing with and supporting your customers, and for complying with all laws that apply to you, including consumer, advertising, tax, data-protection and sector-specific laws.
You grant SpeakUp a licence to display, promote and distribute your advertising content (including names, logos and descriptions) on and in connection with the Platform, including in-app, in newsletters and on social media where your placement includes those channels. You confirm that this content does not infringe any third-party rights. To the extent permitted by law, you will indemnify SpeakUp against claims arising from your advertisements, your products or services, or your dealings with users.

6. Vendor Onboarding and Review
Vendors apply to advertise through our application form. We carry out a basic suitability review before a placement goes live and may accept or decline an application at our discretion. This review is limited: it is not a detailed verification of a Vendor’s identity, quality, qualifications, licences or claims, and it does not make SpeakUp responsible for the Vendor or its services. We may remove or pause any placement that we reasonably believe breaches these Marketplace Terms, our Community Guidelines or any law.

7. Advertising Disclosure and Ranking
Placements in the Marketplace are paid advertising and are identified as advertising or promoted content, so users can tell the difference between paid placement and other content. Higher-tier or add-on placements may receive greater visibility (for example featured or top-of-category placement). Paid placement affects visibility only. It is not a guarantee of leads, sales, clients or results, and it does not make SpeakUp a party to any Vendor deal.

8. No Guarantee of Results
Any figures, examples or estimates of reach, leads, return on investment or revenue that appear in our marketing or in a placement (for example illustrative ROI ranges or numbers of inquiries) are examples only. They are not promises, guarantees or representations of the results any Vendor will achieve. Results depend on many factors outside our control, including the Vendor’s own offer, pricing and follow-up.

9. Vendor Fees, Billing and Refunds
Advertising placement and add-on fees are the prices shown to you at the point of purchase and are billed through Stripe. Because a placement delivers visibility from the moment it goes live, placement and add-on fees are generally non-refundable once the placement has started, except where a placement has not yet begun or where the law requires otherwise. Any statutory rights that apply to a Vendor as a consumer, where relevant, are not affected. See our Refund and Cancellation Policy for more detail.

10. Prohibited Vendor Conduct
Vendors must not advertise or promote anything that is unlawful, unsafe, counterfeit, fraudulent or misleading, that infringes third-party rights, or that breaches our Community Guidelines. Vendors must not make false or unsubstantiated discount, savings, performance or endorsement claims, must not impersonate others, and must not misuse user data obtained through the Platform. Breach may lead to removal of placements, suspension or termination, and may be reported to authorities where required by law.

11. Data Protection in the Marketplace
When a user contacts a Vendor or takes up an offer, the Vendor becomes responsible for the personal data it collects and processes as an independent controller, under its own privacy policy. SpeakUp is not responsible for a Vendor’s data practices. Our handling of personal data within the Platform is described in our Privacy Policy.

12. Liability
To the maximum extent permitted by law, SpeakUp is not liable for any loss arising from a Vendor advertisement, a Vendor product or service, a discount, or any dealing between a user and a Vendor. The limitations and exclusions in our Terms of Service apply to these Marketplace Terms. Nothing here limits any liability that cannot be limited under applicable law, and consumers keep their mandatory rights.
